These Terms and Conditions (“Terms”) govern your use of acumenlogic.co.uk and the platform at app.acumenlogic.co.uk (together, the “Service”) provided by Acumen Logic Ltd, a company registered in England and Wales (company number 16032469) with its registered office at 1 Factory Row, Beccles Road, Thurlton, Norwich, NR14 6AJ, United Kingdom (“Acumen Logic”, “we”, “us” or “our”). Please read them carefully. By creating an account or by buying a paid plan you agree to be bound by these Terms.
Consumer rights notice: nothing in these Terms removes or limits your statutory rights as a consumer, including those under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The right to cancel a digital‑content contract within 14 days — and the circumstances in which that right is forfeited — is set out in our Refund & Cancellation Policy.
1. Definitions
- “Account” — the registered user account you create to access the Service.
- “Free tier” — the unpaid level of access, currently consisting of the Acumen Logic Benchmark assessment and percentile result.
- “Pro” — a paid, fixed‑term tier giving access to provider‑specific replica assessments, drills, mini‑lessons, analytics and recommendations for a defined duration (currently 90 days or 1 year from purchase, as displayed at checkout).
- “Content” — the assessments, drills, lessons, breakdowns, analytics, written copy and other digital materials we make available through the Service.
- “Consumer” has the meaning given in the Consumer Rights Act 2015.
2. Eligibility
To use the Service you must be at least 16 years old, have legal capacity to enter into a binding contract under the laws of England and Wales, and provide accurate information when registering. The Service is built and marketed for use in the United Kingdom; if you access it from elsewhere you do so at your own risk and at your own responsibility for local law.
3. Your account
- You are responsible for keeping your password confidential and for everything that happens under your account.
- One account per person. You may not share your access, sell it, or transfer it.
- You must verify your email address — we use this both to confirm you are the account holder and to send you assessment results, security alerts and account‑related messages.
- If you believe your account has been used without authorisation, contact us at support@acumenlogic.co.uk immediately.
4. Ordering Pro and how the contract is formed
When you purchase a Pro plan:
- Prices are in GBP. Acumen Logic Ltd is not currently registered for VAT, so VAT is not charged on purchases. If our registration status changes, prices and invoices will be updated accordingly.
- Payment is taken by Stripe Payments UK Ltd. We do not see, store or have access to your card details.
- The contract is formed when Stripe confirms your payment and we send the order confirmation email. Until that point we may decline an order, in which case any amount taken will be refunded in full.
- Pro plans are fixed‑term, one‑off purchases — not subscriptions. We will not auto‑renew or take a further payment when the term ends.
- You may continue to use the Free tier without payment for as long as your account is active.
5. Licence and use of the Content
For as long as your Pro term is in force (or for as long as your Free account exists, in respect of Free Content) we grant you a personal, limited, non‑exclusive, non‑transferable, revocable licence to access and use the Content for your own personal, non‑commercial preparation. We retain all intellectual property rights in the Content, the platform and the brand. The licence ends when your Pro term ends, when your account is closed, or when these Terms terminate — whichever is first.
6. Acceptable use
You agree that you will not, and will not permit anyone else to:
- Copy, scrape, mirror, redistribute, resell, sublicense or publish any of the Content (including question text, breakdowns, mini‑lessons, analytics screens or scoring methodology), other than for your own personal study.
- Use the Content to train, fine‑tune, evaluate or test any artificial‑intelligence model, language model or machine‑learning system, whether commercial or otherwise.
- Reverse‑engineer, decompile, attempt to extract source code, or interfere with the operation or security of the Service.
- Use automated systems, bots or scrapers to access the Service.
- Access the Service in order to build a competing product or service.
- Misrepresent yourself, hold yourself out as another user, or use the Service for any unlawful, fraudulent or harmful purpose.
7. Practice content and assessment outcomes
The Content is for educational practice only. Acumen Logic is independent and is not affiliated with, endorsed by or sponsored by any test publisher, employer or recruiter. Provider‑specific assessments are replica practice formats built by us — they are not actual employer assessments and they do not guarantee any particular result on a real assessment or in any recruitment process. 8. Service availability and changes
We aim to keep the Service available at all times, but we do not promise uninterrupted access. We may need to suspend the Service for maintenance, improvements, security or for reasons outside our reasonable control. We will give reasonable advance notice of planned downtime where practical. We may also add, remove or change Content from time to time; if we materially reduce the value of a Pro plan you have already paid for, we will offer you a fair pro‑rata refund for the unused portion.
9. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, where:
- You are in material breach of these Terms (including the acceptable‑use clause above).
- We are required to do so by law, regulator or court.
- We have reasonable grounds to suspect fraud, payment dispute abuse or chargeback fraud associated with your account.
- Your account has been inactive for an extended period and we have given reasonable notice of closure.
You can close your account at any time from Settings in the platform, or by emailing us. Closure does not entitle you to a refund except as set out in the Refund & Cancellation Policy.
10. Liability
Nothing in these Terms limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot lawfully be limited under the Consumer Rights Act 2015 or other consumer protection legislation; or breach of the implied terms as to title.
Subject to that:
- We provide the Service on an “as available” basis. To the extent permitted by law, we exclude all implied warranties not expressly granted in these Terms.
- We are not liable for indirect, special or consequential losses, loss of profits, loss of opportunity, loss of recruitment or career outcomes, or loss of data that we did not directly cause.
- Our total liability to you in connection with the Service is capped at the greater of (a) the total amount you have paid us in the 12 months preceding the event giving rise to the claim, and (b) £100. This cap does not apply to amounts owed to you as refunds where you are otherwise entitled to them.
11. Indemnity
You agree to indemnify Acumen Logic against any third‑party claim, loss, cost or liability arising from (a) your breach of these Terms, (b) your unlawful use of the Service, or (c) your infringement of a third‑party right while using the Service.
12. Refunds
Refund and cancellation rights are set out in the Refund & Cancellation Policy, which forms part of these Terms.
13. Changes to these Terms
We may change these Terms from time to time. The “last updated” date at the top will reflect the latest version. If we make material changes that affect existing paid users, we will give at least 14 days’ notice by email or in‑app and offer a pro‑rata refund of the unused portion of any current paid term if you do not wish to accept the new Terms.
14. General
- Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy, Refund & Cancellation Policy and Disclaimer, are the entire agreement between you and us.
- Severability: if any clause is held to be unenforceable, the rest stays in force.
- No waiver: if we do not enforce a right, that does not waive it.
- Assignment: you may not transfer your account or your rights under these Terms. We may transfer ours on reasonable notice as part of a sale or restructure.
- Third‑party rights: these Terms do not give any third party any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that a consumer resident in Scotland or Northern Ireland may bring proceedings in their home jurisdiction. You may also be entitled to use a relevant alternative dispute resolution scheme — we will tell you about any applicable scheme if a dispute arises that we cannot resolve directly.
